        WHEREAS The aforesaid amount or part thereof has not been withdrawn by the first party till today and possession of the aforesaid plot has not been delivered by the Company to First party, AND

        WHEREAS ON the basis of aforesaid registration certificate/provisional allotment letter, the First Party having a right to purchase the aforesaid plot(s) which is transferable and the First Party have not transfer his right in favour of any person, Company, Society, Firm, etc. till today and has not executed any type of Deed of Transfer as such the aforesaid right vested in First Party is without any encumbrances and free from all charges. AND

        WHEREAS: The First Party requires money to meet certain domestic/commercial expenses so the First Party proposed to Second Party for transfer his aforesaid right and Second Party accepted the same and communicated to the First Party. Hence, This deed of transfer is being written and executed between both the party subject to the following terms & conditions.

Hence, This deed of transfer is being written and executed between both the party subject to the following terms & conditions:-


  1. The First Party has agreed to transfer his aforesaid right to purchase of PLOT NO._ _ _ _ _ _ _ _ _ _ _ _ _ measuring _ _ _ _ _ _ _ _ _ _ _ _ _ in proposed/future/existing scheme situated at _ _ _ _ _ _ _ _ _ _ _ _ _ _ of _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ Company for the sum of ₹_ _ _ _ _ _ _ _ _ _ _ as consideration free from all encumbrances.

  2. The Second Party has paid to First Party this day the aforesaid entire agreed amount of consideration through cash amount ₹_ _ _ _ _ _ _ _ _ _ _ Date _ _ _ _ _ _ _ _ _ _ _, receipt of which the First Party doth hereby admit and acknowledge.

  3. That the Company has not issued provisional allotment letter in favour of First Party OR the First Party has not received the possession of the plot from the Company. But from the date of execution of Deed of Transfer, the second Party shall be entitled to take the provisional allotment letter or possession from the Company in which First Party has got no objection.

  4. The First Party agreed that he shall surrender all original documents like registration certificate/provisional allotment letter to the aforesaid Company in favour of Second Party and First Party shall be responsible for Transfer of the name of Second Party in the place of First as registered name in the officer of Company in respect of aforesaid plot OR First Party shall be responsible for Transfer of the Provisional allotment letter in favour of Second Party in respect of aforesaid plot.

  5. That it is also agreed that Second Party shall pay Transfer fee and all other charges to the Company.

  6. That First Party state and declares that the First Party has got no right, title and interest in the aforesaid right or plot from the date execution of this Deed and all rights, title and interest shall be vested Second Party.

  7. That the First Party state and declare that the First Party has paid entire amount of consideration to the Company up to this stage and nothing is due but in future the Company demanded any amount towards outstanding only the First Party shall be responsible for the same.

  8. The First Party further state and declare that the First Party has not Transfer aforesaid right to purchase the plot or provisional allotment letter by executing any Deed of Transfer in favour of any Person, Company, Society, Firm etc., and First Party also declare that the First Party is entitled to Transfer the aforesaid right/provisional allotment letter exclusively and no person having any share in the same. The aforesaid right or the provisional allotment letter is free from all encumbrances liens attachments, claims, charges, or demand but in case any contingency or disputes appears then only First Party shall be responsible for the same.

  9. That In case of any dispute arising about this Deed of Transfer the parties, the same shall be referred for adjudication before Sole Arbitrator to be appointed by the both the parties and the decision of Arbitrator shall be final and binding up on both the parties. The venue of arbitration shall be _ _ _ _ _ _ _ _ _ _. Only.
